Educational License Agreement
This Educational License Agreement (“Agreement”) is made effective upon purchase between United Notions Film (“Licensor”) and the purchasing institution or individual (“Licensee”).
Definitions 1.1. "Institution" refers to a single, named entity, including its associated faculty, staff, and enrolled students, unless otherwise agreed in writing. 1.2. "Licensed Film(s)" refers to the specific documentary or collection of documentaries purchased by the Licensee under this Agreement.
Grant of License The Licensor grants the Licensee a limited, non-exclusive, non-transferable license to use the Licensed Film(s) solely for educational purposes as defined herein.
License Term and Fees 3.1. License Options: a) 5-Year License: USD $390 per film, renewable for $200 if renewed prior to expiration. b) Perpetual License: USD $490 per film or USD $890, $1090 or $1290 for a collection. 3.2. Renewal: Renewals must be requested in writing prior to the expiration of the initial term.
Permitted Uses The Licensee may: 4.1. Screen the Licensed Film(s) in classrooms, libraries, and other secure, on-campus locations. 4.2. Provide access via a secure, password-protected internal network limited to students, faculty, and staff. 4.3. Use the Licensed Film(s) for hybrid or online classes, provided access is limited to enrolled students through secure platforms.
Prohibited Uses The Licensee shall not: 5.1. Host public or commercial screenings without prior written consent from the Licensor. 5.2. Reproduce, distribute, or transmit the Licensed Film(s) to any third party, including uploading to cloud storage platforms accessible outside the Institution. 5.3. Modify or edit the Licensed Film(s) in any way.
Safeguarding Digital Copies 6.1. The Licensee is responsible for safeguarding digital copies to prevent unauthorized access or distribution. 6.2. Upon expiration or termination of this Agreement, the Licensee shall permanently delete all digital copies and confirm deletion in writing to the Licensor.
Liability and Indemnity 7.1. The Licensor makes no guarantees regarding the suitability of the Licensed Film(s) for the Licensee’s intended use. 7.2. The Licensee shall indemnify and hold harmless the Licensor against any claims, damages, or losses arising from misuse of the Licensed Film(s).
Termination 8.1. The Licensor may terminate this Agreement immediately if the Licensee breaches any term herein. 8.2. Upon termination, the Licensee must delete all copies and cease all use of the Licensed Film(s).
Dispute Resolution 9.1. Any disputes arising from this Agreement shall first be subject to mediation. If mediation fails, the dispute shall be resolved through arbitration.
Governing Law This Agreement is governed by the laws of New South Wales, Australia.
Entire Agreement This Agreement constitutes the entire understanding between the parties regarding the Licensed Film(s).
Acceptance By purchasing the Licensed Film(s), the Licensee agrees to all terms outlined in this Agreement.
